MSA (one-time setup)

SOW #1 → SOW #2 → SOW #3...

Purpose: Standalone agreement for general consulting engagements

When to Use: For simpler engagements that don’t require the full MSA + SOW structure


Purpose: Establishes the overall relationship and terms for all work

Key Terms:

  • Payment terms (Net 30)
  • Intellectual property ownership
  • Limitation of liability
  • Termination rights
  • Governing law (Delaware)

When to Sign: Once, at start of relationship. SOWs reference this agreement.


Purpose: Protects confidential information shared between both parties

Key Terms:

  • Mutual confidentiality obligations
  • 2-year term after disclosure
  • Standard exceptions (public info, prior knowledge, etc.)

When to Sign: Before any discussions involving proprietary or sensitive information


Purpose: Defines specific project scope, deliverables, and pricing

Key Sections:

  • Project description
  • Deliverables
  • Timeline/milestones
  • Pricing and payment schedule
  • Assumptions

When to Sign: For each new project or engagement


Purpose: Lightweight confirmation of engagement terms

When to Use: For smaller engagements or when a full MSA/SOW is overkill


All contract signing is handled through Google Docs eSignature:

  1. Copy template from Business > Client Contracts > Templates
  2. Fill in client-specific details
  3. Send for signature via Google Docs (Insert > Signature)
  4. Signed documents are stored in the Business shared drive

All signed contracts are stored in:

Business > Client Contracts > Clients > [Client Name]

Naming convention: [Client]_[DocType]_[YYYY-MM-DD].pdf


For presenting project options before SOW:

  • Google Drive > Templates > Proposal Template

Standard invoice format:

  • Generated through Stripe (see Billing)

Common email templates:

  • Google Drive > Templates > Emails

  • These templates have been reviewed for standard engagements
  • For significant modifications, consult legal counsel
  • Document any custom terms in the signed version
  • Keep all signed contracts indefinitely
  • Keep drafts/negotiations for 1 year after signing
